1. Introduction

These Terms and Conditions ("Terms") govern your use of the Capacify mobile application, the Capacify website, and the Capacify venue capacity sensing service (together, the "Service"), operated by Akaviri Ltd, a company registered in England and Wales and trading as Capacify("we", "us" or "our").

By downloading, accessing or using the Service — or, for Venues, by having a Sensor installed — you agree to be bound by these Terms. If you do not agree, please do not use the Service.

2. Definitions

Company / We / Us / Our refers to Akaviri Ltd, trading as Capacify.
Country refers to the United Kingdom.
Service refers to the Capacify mobile application, the Capacify website, and the Sensing Service.
Sensing Service means the installation and operation of a Sensor at a Venue and the provision of Capacity Information derived from it.
Sensor means the device we supply to a Venue that passively detects nearby Bluetooth-enabled devices and reports anonymous aggregate counts, as described in our Privacy Policy.
Capacity Information means any estimate, band, percentage, range or historical statistic of how busy a Venue is that the Service displays.
User means an individual who uses the Service to view Venues, Capacity Information and Offers.
Business / Venue means a business owner or representative who uses the Service to list their venue, post Offers and/or have a Sensor installed.
Offer means a promotion, discount, or deal posted by a Business through the Service.
Content means any information, text, images, or other materials uploaded to the Service.

3. Eligibility

You must be at least 13 years old to use the app. A Business representative agreeing to these Terms confirms they are authorised to bind the Business.

4. Account Registration

To access certain features, you must sign in using Apple Sign-In or Google Sign-In. You are responsible for maintaining the security of your account and for all activity that occurs under it.

You agree to:

Provide accurate information during sign-in
Not share your account credentials
Notify us immediately of any unauthorised access

We reserve the right to suspend or terminate accounts that violate these Terms.

5. Use of the Service

5.1 For Users

Users may use the Service to:

Browse Businesses and view Capacity Information
Discover and activate offers posted by Businesses
Redeem offers at participating venues

Users agree not to:

Misuse or attempt to fraudulently redeem offers
Use the Service for any unlawful purpose
Interfere with the operation of the Service

5.2 For Businesses

Businesses may use the Service to:

Create and manage a business profile
Have live Capacity Information displayed for their venue
Post offers and promotions for Users
Update business information such as opening times and capacity

Businesses agree to:

Provide accurate and up-to-date information, including opening hours and capacity
Honour all offers posted through the Service
Not post misleading, false, or deceptive offers
Comply with all applicable laws and regulations

We reserve the right to remove any Business or Offer that violates these Terms.

6. Sensing Service (Businesses)

Where we agree to provide the Sensing Service, we will supply and install a Sensor at the venue. The Sensor remains our property at all times. The Business agrees to:

Provide a mains power socket and, where agreed, access to an internet connection
Keep the Sensor powered on and in the agreed position, and not move, open, tamper with or obstruct it
Tell us promptly if the Sensor is moved, damaged or unplugged for an extended period, or if the layout or capacity of the venue changes materially
Co-operate reasonably with calibration, including allowing occasional headcounts (a number only — never any personal information about customers)
Display a short notice we supply stating that Capacify capacity sensing is in use, with a reference to our Privacy Policy
Allow us reasonable access to install, maintain, replace or remove the Sensor, and return it or allow us to collect it when the Sensing Service ends

Anonymous counts, Capacity Information and derived statistics are owned by us. We grant the Business a non-exclusive licence to view and use Capacity Information for its own venue for its internal business purposes while it uses the Service. Any fees for the Sensing Service will be agreed separately in writing; unless otherwise agreed, pilot installations are free of charge and either party may end them on 14 days' notice.

7. Capacity Information

Capacity Information is an estimate, presented deliberately as coarse bands (for example "Quiet", "Lively") with an indicated range. It is not a headcount, a guarantee of seating or space, or a statement of legal or safe capacity.

Estimates can be affected by device usage patterns, nearby premises, events, sensor placement and connectivity, and may lag real conditions by a few minutes
Where a venue's calibration is incomplete or a Sensor is offline, the Service may show reduced confidence, a wider range, or no information
Users should not rely on Capacity Information for any safety-related decision
Businesses must not rely on Capacity Information to determine or evidence compliance with licensing, fire-safety or other occupancy limits

8. Offers and Redemptions

Offers are created and managed solely by Businesses. We do not guarantee the availability, accuracy, or quality of any Offer.

Offers may be subject to additional terms set by the Business
Offers may have limited availability or expiry dates
We are not responsible for disputes between Users and Businesses regarding Offers

Users are responsible for verifying Offer details with the Business before redemption.

9. Intellectual Property

The Service, the Sensor software, and all original content, features and functionality are owned by us and are protected by copyright, trademark and other intellectual property laws.

You may not copy, modify, distribute, reverse engineer or create derivative works based on the Service or the Sensor without our prior written consent.

10. User Content

By uploading Content to the Service, you grant us a non-exclusive, royalty-free, worldwide licence to use, display, and distribute that Content in connection with the Service.

You are solely responsible for any Content you upload and confirm that:

You own or have the necessary rights to the Content
The Content does not infringe any third-party rights
The Content does not violate any applicable laws

We may remove Content that violates these Terms without notice.

11. Prohibited Conduct

You agree not to:

Use the Service in any way that violates applicable laws
Attempt to gain unauthorised access to the Service, a Sensor, or our systems
Upload viruses, malware, or other harmful code
Interfere with, spoof or jam a Sensor or its radio environment
Harass, abuse, or harm other users
Use automated systems to access the Service without permission
Impersonate any person or entity

12. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied.

We do not warrant that:

The Service or any Sensor will be uninterrupted or error-free
Capacity Information or other information provided through the Service is accurate or complete
Offers will be honoured by Businesses

We are not responsible for the actions, products, or services of any Business listed on the Service.

13. Limitation of Liability

Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law.

Subject to that, to the fullest extent permitted by law we shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profit, revenue or business, arising from your use of the Service or reliance on Capacity Information.

Our total liability for any claim arising from these Terms shall not exceed the amount you paid to us (if any) in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses arising from:

Your use of the Service
Your violation of these Terms
Your violation of any third-party rights
Content you upload to the Service
For Businesses: loss of or damage to a Sensor caused by the Business's negligence or breach of section 6

15. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. A Business may end the Sensing Service by giving us 14 days' notice.

Upon termination:

Your right to use the Service will cease immediately
We may delete your account and associated data
Businesses must return the Sensor or allow us to collect it within 14 days
Provisions that by their nature should survive will remain in effect

16. Changes to These Terms

We may update these Terms from time to time. Any changes will be posted within the Service or on our website, along with an updated effective date.

Continued use of the Service after changes constitutes acceptance of the revised Terms.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
